Terms of Service

1. Agreement

By signing up for or using Convorian ("Platform", "Service"), you ("Agent", "you") agree to these Terms of Service ("Terms") with Convorian ("Convorian", "we", "us") โ€” currently operated as a sole proprietorship by its founder in India. If you do not agree, do not use the Service.


2. The Service

Convorian provides an AI-powered WhatsApp automation and lead nurturing platform for businesses. The platform allows agents to manage leads, automate conversations via WhatsApp, book appointments, and track sales performance.


3. Eligibility

You must be:

  • At least 18 years old
  • A legally registered business or individual conducting lawful business
  • Able to enter into a binding contract under Indian law

4. Agent Accounts

  • You are responsible for maintaining the security of your account credentials
  • You are responsible for all activity that occurs under your account
  • Notify us immediately of any unauthorised access at support@convorian.in
  • You may not share your account with others or create multiple accounts to circumvent limits
  • We reserve the right to suspend accounts that violate these Terms

5. Acceptable Use

You agree NOT to:

  • Use Convorian for any illegal purpose
  • Message leads who have not consented to receive communications from you
  • Send spam, misleading, fraudulent, or harassing messages
  • Upload or process data of minors under 18
  • Attempt to reverse engineer, hack, or disrupt the platform
  • Resell or sublicense access to Convorian without written permission
  • Use Convorian to send bulk unsolicited marketing messages
  • Impersonate any person or entity
  • Violate Meta's WhatsApp Business Policy or any applicable messaging laws

Violation of these terms may result in immediate account suspension without refund.


6. WhatsApp & Messaging Compliance

You are solely responsible for:

  • Obtaining explicit consent from all leads before adding them to Convorian and messaging them via WhatsApp
  • Complying with TRAI regulations, WhatsApp Business Policy, and all applicable Indian and international communication laws
  • Maintaining records of consent for all leads
  • Providing an opt-out mechanism to all leads
  • The content of all messages sent through your account

Convorian is a technology platform โ€” we are not responsible for how you use it to communicate with your leads. Any penalties, bans, or legal action arising from non-compliant messaging are your responsibility.


7. Data Ownership

  • Your data is yours. All leads, conversations, and business data you upload or generate belongs to you.
  • You grant Convorian a limited licence to process your data solely to provide the Service.
  • We use anonymised, aggregated data to improve our AI engine. Individual agent data is never shared.
  • On account termination, you may export your data within 30 days. After 90 days, data is permanently deleted.

8. Billing & Payments

  • Subscription fees are billed monthly or annually as selected
  • All fees are in Indian Rupees (INR). GST is not currently charged (Convorian is not yet GST-registered); applicable taxes will be added once we are registered
  • Payments are processed by Razorpay. By subscribing, you agree to Razorpay's terms
  • Subscriptions auto-renew unless cancelled before the renewal date
  • We reserve the right to change pricing with 30 days notice to existing subscribers
  • WhatsApp message credits are prepaid and deducted per message sent

9. Refund Policy

  • Monthly plans: No refunds after 7 days from initial purchase. 7-day money-back guarantee for first-time subscribers only.
  • Annual plans: Pro-rated refund for remaining complete months if requested within 30 days of purchase.
  • WhatsApp credits: Non-refundable once used. Unused credits refunded within 7 days of account closure.
  • Refund requests: Email billing@convorian.in with your account email and reason.

10. Service Availability

  • We target 99.5% uptime excluding scheduled maintenance
  • Scheduled maintenance will be communicated 24 hours in advance
  • Unplanned outages: We aim to restore service within 4 hours
  • For outages exceeding 24 hours due to our fault: Account credited with pro-rated compensation
  • We are not liable for downtime caused by third parties (Meta, Twilio, Google, Supabase)

11. Data Loss

  • We maintain daily automated backups
  • In the event of data loss due to our error, we will restore from the most recent backup
  • We are not liable for data loss due to user error, force majeure, or third-party failures
  • Maximum liability for data loss is limited to 3 months of subscription fees paid

12. AI-Generated Content

  • Convorian's AI engine generates messages on behalf of agents
  • Agents are responsible for reviewing and approving AI-generated communications where required
  • Convorian does not guarantee the accuracy, completeness, or appropriateness of AI outputs
  • The AI engine will never fabricate property details, pricing, or availability โ€” it is instructed to say "let me check with the team" when uncertain
  • Agents should not solely rely on AI outputs for legally significant communications

13. Intellectual Property

  • Convorian owns all rights to the platform, AI engine, code, and brand
  • You retain ownership of your data and content
  • You may not copy, reproduce, or distribute any part of Convorian's platform or technology
  • "Convorian" name and logo are trademarks of Convorian

14. Confidentiality

Both parties agree to keep confidential any non-public information shared in the course of the business relationship, including pricing, product roadmaps, and business strategies.


15. Limitation of Liability

To the maximum extent permitted by law:

  • Convorian's total liability to you shall not exceed the fees paid by you in the 3 months prior to the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for loss of profits, data, or business opportunities
  • These limitations apply regardless of the form of action

16. Indemnification

You agree to indemnify and hold harmless Convorian, its officers, directors, and employees from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Non-compliant messaging or data handling by you

17. Termination

  • You may cancel your account at any time from your dashboard settings
  • We may suspend or terminate your account immediately for violation of these Terms
  • On termination: Access ends immediately; data retained for 90 days then deleted
  • Sections 7, 13, 14, 15, 16, and 19 survive termination

18. Modifications to Service

We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable notice. We will not materially reduce core functionality without providing a pro-rated refund for prepaid periods.


19. Governing Law & Disputes

  • These Terms are governed by the laws of India
  • Disputes shall be subject to the exclusive jurisdiction of courts in Pune, Maharashtra, India
  • Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for 30 days
  • For consumer disputes: You may also approach the National Consumer Disputes Redressal Commission
